Terms and Conditions

General

The following terms and conditions apply to services provided by Myecogeek Ltd including website development, website maintenance support and search engine optimisation.
All work is carried out by Myecogeek Ltd. on the understanding that the client has agreed to these terms and conditions.

Website Development

A ‘wireframe’ or sample template needs to be approved by the client before creation of the website begins.
When complete, Myecogeek Ltd will provide the client with the opportunity to review the resulting work. Myecogeek will make one set of minor changes at no extra cost within 14 calendar days of the start of the review period.
If a choice of design or solution is presented, only one design or solution fulfils the scope of work. All other designs and solutions remain the property of Myecogeek Ltd.

Client Supplied Information and Content

The client agrees to provide any images, text content and other data required by Myecogeek Ltd in the correct format and in a timely manner to avoid any delays in completing the works.

Inappropriate Content

Myecogeek Ltd will not include in its designs any text, images or other data which it deems to be immoral, offensive, obscene or illegal.
Myecogeek Ltd reserves the right to refuse to include such material without giving reason.
If for any reason such material is included, the client is obliged to allow Myecogeek Ltd to remove the offending material without hindrance.
Myecogeek Ltd is to be held in no way responsible for any such material being included.

Third Party Copyrights and Trademarks

The client declares that it holds the appropriate copyright and/or trademark for all text, images and other data supplied by the client for inclusion in the website solution. The ownership of this material will remain with the client or rightful owner of the copyright and / or trademark.
Should Myecogeek Ltd or the client supply material believing it to be copyright and royalty free, which subsequently emerges to have copyright or royalty limitations, the client agrees to allow Myecogeek Ltd to remove and/or replace this material from the website.
The client agrees to fully indemnify and hold Myecogeek Ltd free from harm in any way and all claims resulting from the client providing material that the client has not obtained all the required copyright and/or other necessary permissions

Copyright

Copyright is retained by Myecogeek Ltd on all design and website development work done by Myecogeek Ltd until all costs have been paid and all invoices settled. At which time the copyright on the agreed scope of work will be transferred to the client.

Licensing

All design, copyrighting, idea or code created for the client by Myecogeek Ltd is licensed for use on a one-time only basis and may not be modified, re-used or distributed in any form without the express written consent of Myecogeek Ltd.

Confidentiality

During and after the term of engagement, Myecogeek Ltd acknowledges its responsibility to treat in complete confidence all information relating to the clients business with which the client may supply Myecogeek Ltd in the course of any work for the client.

Consequential Loss

Myecogeek Ltd is not responsible for any loss, or consequential loss, non-delivery of products or services of whatever cause.
The client agrees not to hold Myecogeek Ltd responsible for any such loss or damage.
Any claim against Myecogeek Ltd shall be limited to the relevant fees paid by the client to Myecogeek Ltd.

Disclaimer

Myecogeek Ltd make no warranties of any kind, express or implied, for any and all products and/or services supplied by Myecogeek Ltd.
Myecogeek will not be held responsible for any and all damages resulting from products and/or services it supplies, including loss or consequential loss of data or non-delivery of products or services

The client agrees not to hold Myecogeek Ltd responsible for any such loss or damage. Any claim against Myecogeek Ltd shall be limited to the relevant fee paid by the client.

Website Care Package

Access to Clients Website

The client agrees to allow Myecogeek Ltd all necessary access to the hosting account in order to complete the project and until all due funds are cleared.
This access will include read/write permissions, usernames and passwords to the hosting account and to any content management system installed ( e.g. WordPress)

Updates to Themes and Plugins

Myecogeek will carry out minor updates to themes and plugins without seeking approval from the client.
Major updates to themes and plugins will be carried out after client approval

Consequential Loss

Myecogeek Ltd is not responsible for any loss, or consequential loss, non-delivery of products or services of whatever cause.
The client agrees not to hold Myecogeek Ltd responsible for any such loss or damage.
Any claim against Myecogeek Ltd shall be limited to the relevant fees paid by the client to Myecogeek Ltd.

Monthly Report

Myecogeek will provide client with a report of the work completed during the month and any significant issues that needs to be resolved.
The monthly report will be available by the end of the first week of the following month

Accepting the Quotation

Myecogeek Ltd. will provide the client with a written quotation.
The client can send an official order or an email accepting the quotation.
By accepting the quotation the client also acknowledges acceptance of these terms and conditions.

Payment for Web Development Services

Standard terms of payment are:
50% in advance, non-refundable and paid before any work commences
25% invoiced after 30 days
25% invoiced on completion of the agreed scope of work
Myecogeek Ltd will invoice the client and the client can pay online by debit/credit card or electronic bank transfer. Bank details will be included on the invoice.
Release of any works by Myecogeek Ltd will only take place after the invoiced amounts have been received.

Payment for Website Care Package Services

Standard terms of payment are:
100% monthly fee paid in advance

Invoice Process

Myecogeek Ltd will invoice the client and the client can pay online by debit/credit card or electronic bank transfer. Bank details will be included on the invoice.
Release of any works by Myecogeek Ltd will only take place after the invoiced amounts have been received.

Default

Client accounts will be considered in default if invoiced amounts remain unpaid after 30 days from the date of the invoice.
Myecogeek Ltd will be entitled to remove or block the usage of any material or solution created by Myecogeek Ltd until the overdue amount has been paid.
Removal or blockage from use does not relieve the client of its obligations to pay the full invoiced amount.
Clients agree to pay all reasonable legal expenses and third party collection agency fees in enforcing these terms and conditions.

Changes to the Scope of Work

The client agrees that changes required over and above the agreed scope of work will be subject to a separate charge.
The client agrees that Myecogeek Ltd has no responsibility for amendments by any third party before or after the website is published.

Cancellation

The client can cancel an order by email to jebriordan@gmail.com.
The client will be invoiced for all work completed over and above the nonrefundable deposit.
The balance of money due must be paid within 30 calendar days.

Acceptance of Terms and Conditions

The placement of an order for services offered by Myecogeek Ltd is deemed to be acceptance of these terms and conditions
